BNCouraged Designs Agency – Terms of Service

These Terms & Conditions (“Terms”) govern the use of services provided by BNCouraged Designs Agency, LLC (“we,” “us,” or “our”). By engaging our digital marketing, funnel design, automation, or consulting services (“Services”), you (“Client,” “you,” or “your”) agree to these Terms.
1. Scope of Services
We provide digital marketing, funnel design, automation, branding, and consulting services as agreed in your service package, proposal, or contract. Any additional services requested outside the agreed scope may require a new agreement and additional fees.
2. Payment & Billing
All fees are due in advance unless otherwise specified in writing. All payments are non-refundable, as resources and project time are allocated immediately upon purchase. Recurring payments (e.g., retainers, subscriptions) must remain active to continue services.
Any late or failed payments may result in suspension of services until resolved.
3. Payment Authorization & Chargeback Policy
By making payment, the Client expressly authorizes BNCouraged Designs Agency, LLC to charge the agreed amount to the chosen payment method.
The Client acknowledges that this payment is valid, authorized, and may not be disputed as fraudulent or unauthorized with their bank or credit card company.
All payments are final and non-refundable. Client agrees not to initiate a chargeback, reversal, or similar dispute. Doing so constitutes breach of contract and may result in legal action and recovery of fees.
Client understands that results vary and that no guarantee of income, leads, or sales is made.
Client agrees to provide all required deliverables (branding, content, logins, etc.) within the agreed timeline. Failure to provide assets does not entitle the Client to a refund.
4. No Guarantee of Results
While we strive to deliver high-quality marketing and funnel services, we make no guarantee of specific results such as sales, revenue, or client acquisition. Success depends on factors beyond our control, including market conditions, client actions, and industry competition.
5. Client Responsibilities
The Client agrees to: Provide timely access to necessary assets, content, and accounts. Review and approve deliverables promptly.
Maintain compliance with all applicable laws and ethical standards.
6. Intellectual Property
Ownership of final deliverables transfers to the Client only after full payment is received. The Agency retains rights to use non-confidential portions of completed work in its portfolio unless an NDA is in place.
7. Confidentiality
Both parties agree to maintain confidentiality of sensitive business information, except where disclosure is required by law.
8. Limitation of Liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages, including lost profits, business interruption, or data loss, arising from use of our services.
9. Termination
Either party may terminate services with written notice, subject to the cancellation terms in the signed agreement. Fees paid are non-refundable, and work completed up to termination will be delivered only if full payment has been made.
10. Governing Law
These Terms are governed by the laws of the State of [Insert State]. Disputes will be resolved through arbitration or mediation in [Insert Location].
11. Modifications
We reserve the right to update these Terms at any time. Updates will be posted on our website. Continued use of our Services constitutes acceptance of revised Terms.
